Terms and Conditions

1. Identity of Knoxlink

Knoxlink is established in Houten, the Netherlands, and registered with the Dutch Chamber of Commerce under number 90900626 (hereinafter: “Knoxlink”).

Knoxlink operates an online platform on which Creators can create a personal page with affiliate links and giveaway features (hereinafter: the “Platform”).

2. Definitions

Platform: the Knoxlink website, software and all related services.

Creator: a natural person aged 18 or over, or a legal entity, that generates revenue through the Platform.

User: any visitor to or user of the Platform or a Creator page.

Affiliate Commission: compensation received from a third party based on sales or actions completed through affiliate links.

Payout: the transfer of accrued revenue to a Creator.

Self-Billing: the process through which Knoxlink prepares a payout statement or invoice on behalf of a Creator.

Fee & Revenue Policy: the separate document that sets out current fees, revenue distribution and commercial conditions.

3. Applicability

These terms apply to all agreements between Knoxlink and Creators and to the use of the Platform by Users.

Current fees and revenue distribution are set out in the Knoxlink Fee & Revenue Policy, which forms an integral part of these terms.

4. Role of Knoxlink

Knoxlink provides a technical platform only and is not a party to agreements between Creators and third parties.

Knoxlink is not responsible for the delivery, quality or performance of products or services supplied by third parties.

5. Account Registration and Verification

Creators must be at least 18 years old.

Knoxlink may require identity verification (KYC) before making a payout.

Knoxlink may suspend or terminate accounts without stating a reason.

6. Revenue and Commissions

Affiliate revenue is considered final only when:

  • the underlying transaction has been confirmed by the third party; and
  • the commission has been paid irrevocably to Knoxlink.

Until then, revenue remains provisional.

The exact revenue distribution, platform fees and any additional charges are set out in the Fee & Revenue Policy.

Affiliate incentives, bonuses or promotional compensation awarded to Knoxlink by affiliate networks belong to Knoxlink unless agreed otherwise in writing.

7. Payment Processing and Costs

Fees charged by payment providers, banks and external service providers are deducted from revenue in accordance with the Fee & Revenue Policy.

Currency conversion may take place at the rate used by the payment provider. Knoxlink may apply a conversion fee as described in the Fee & Revenue Policy.

8. Refunds, Chargebacks and Negative Balances

Knoxlink may reverse commissions following cancellations, refunds or chargebacks.

Negative balances are immediately due and may be offset against future revenue.

9. Payouts

Minimum payout amounts and payout frequency are set out in the Fee & Revenue Policy.

Knoxlink may suspend payouts where fraud is suspected or verification is pending.

10. Self-Billing

Knoxlink uses self-billing. The Creator agrees to this and remains responsible for tax compliance.

11. Prohibited Use and Fraud

The use of bots, artificial traffic or tracking manipulation is prohibited.

In the event of a violation, Knoxlink may terminate accounts, freeze balances and invalidate revenue.

12. Content and Monetisation

Prohibited content includes scams, hate speech and illegal products.

All commercial partnerships conducted through a Creator page must run through Knoxlink unless agreed otherwise in writing.

13. Intellectual Property

Creators retain ownership of their content.

By publishing content, the Creator grants Knoxlink a worldwide, non-exclusive licence to use and promote that content.

14. Taxes and Sanctions

Creators are responsible for their own tax returns and compliance with international sanctions legislation.

15. Liability

Knoxlink is liable only for direct loss.

Total liability is limited to the fees paid to Knoxlink during the 12 months preceding the event that caused the loss, or €500 if no fees were paid.

Knoxlink is not liable for indirect loss or errors by third parties.

16. Indemnification

The Creator indemnifies Knoxlink against third-party claims arising from content or use of the Platform.

17. Term and Termination

The agreement is entered into for an indefinite period.

18. Changes

Knoxlink may amend these terms and the Fee & Revenue Policy with 14 days’ notice.

19. Governing Law

These terms are governed by Dutch law.

Disputes will be submitted to the competent court of the District Court of Midden-Nederland, Utrecht location.
